GOVERNANCE
Roles, Responsibilities, Liabilities
& Protections of Boards & Committees

PILCH has developed an on-line Guide which serves as useful reinforcement of material covered in PILCH “Roles, Responsibilities, Liabilities & Protections of Boards & Committees” governance training sessions.

The Guide is designed as a “back to basics” training resource for people involved in not-for-profit organisations throughout Victoria. The Guide is particularly relevant for new not-for-profit board or committee of management members as well as existing board or committee members that are seeking a refresher.

The Guide includes:

- Overview of legal duties: emphasising the key principals of good governance practice
- More detailed fact sheets explaining the roles, responsibilities and liabilities of committee of management members of Victorian incorporated associations, and board of director members of companies limited by guarantee
- Induction checklist for new committee and board members
- Links and annotated extracts of relevant sections in Associations Incorporation Act (Vic) 1981 and Corporations Act 2001 (Cth)
- Case studies/sample scenarios to highlight common issues such as how to manage a potential conflict of interest
